1. What Power Claude Is
Power Claude is a client-side software utility that helps individual developers and small teams manage multiple Anthropic accounts they personally own. Specifically, it provides local rotation logic so that your development workflow can cycle between Anthropic accounts without manual credential switching.
Power Claude is a tool, not a service provider for Anthropic API access. It does not:
- Resell or sublicense Anthropic API capacity.
- Proxy your requests to Anthropic on your behalf through Neural-LLM infrastructure.
- Bypass, defeat, circumvent, or evade Anthropic's rate limits, billing systems, usage policies, or terms of service.
- Access, store, or transmit your prompts, AI-generated responses, generated code, or Anthropic API keys or OAuth tokens.
You authenticate directly to Anthropic using your own credentials. Power Claude manages the local rotation logic on your machine. Neural-LLM never sees your Anthropic credentials or the content of your API interactions.
2. Your Responsibilities Regarding Anthropic
Your use of Anthropic's Claude API and Claude Code CLI is governed entirely by Anthropic's own Terms of Service and Usage Policies. You are solely responsible for ensuring your use of Power Claude complies with those terms. Neural-LLM makes no representations about what Anthropic permits and accepts no liability for any enforcement action Anthropic takes against your accounts.
Specifically, you represent and warrant that:
- You personally own, or are expressly authorized to use, every Anthropic account you configure in Power Claude.
- You will not configure Power Claude to rotate credentials belonging to other individuals without their knowledge and consent.
- You will not use Power Claude to share a single Anthropic account across multiple unauthorized users.
- Your use of multiple Anthropic accounts complies with Anthropic's account policies at all times.
Neural-LLM is not responsible for any suspension, termination, or other action taken by Anthropic against your accounts, regardless of whether Power Claude was in use at the time.
3. License Grant
Subject to your payment of applicable subscription fees and compliance with these Terms, Neural-LLM grants you a limited, non-exclusive, non-transferable, revocable license to install and use Power Claude on machines you own or control, up to the number of concurrent activations permitted by your subscription tier.
Your license key is tied to a hardware fingerprint (machine ID) generated on your device. You may deactivate and reactivate your license up to three times to move the activation between machines. If you need additional reactivations beyond this limit, contact
You may not:
- Sublicense, sell, rent, or transfer your license key to any other person or entity.
- Reverse engineer, decompile, or disassemble Power Claude beyond what applicable law expressly permits.
- Modify or create derivative works of Power Claude.
- Remove or obscure any proprietary notices in the software.
- Use Power Claude to build a competing product or service.
4. Subscription, Billing, and License Activation
Power Claude is sold as a subscription — monthly or annual — through the neural-llm.com website using our e-commerce platform. Your subscription gives you access to the current version of Power Claude and any updates released during your active subscription period.
4.1 Billing
Subscription fees are charged at the start of each billing period. Prices are stated in USD. Applicable taxes may be added at checkout depending on your location. We use a third-party payment processor (Stripe or Authorize.Net) to handle payment card transactions; Neural-LLM never stores your card number or full payment credentials.
4.2 Renewal and Cancellation
Subscriptions renew automatically unless you cancel before the renewal date. You may cancel at any time through your account dashboard. Cancellation stops future charges; you retain access to Power Claude through the end of your current paid period. Refund eligibility on cancellation (including treatment of partial billing periods) is governed exclusively by our Refund Policy, which is incorporated into these Terms by reference.
4.3 License Keys and our license system
Upon successful purchase, our license system generates and delivers a license key to your registered email address. License keys are single-user and non-transferable. Neural-LLM reserves the right to revoke a license key if it is used in violation of these Terms.
5. Acceptable Use
Power Claude is intended for legitimate software development work. You agree not to use Power Claude:
- For any unlawful purpose or in violation of any applicable law or regulation.
- To coordinate unauthorized access to Anthropic services or any other third-party system.
- In a way that imposes an unreasonable load on Neural-LLM's license validation infrastructure.
- To resell or commercially exploit AI-generated content in a manner that violates Anthropic's terms.
Neural-LLM reserves the right to suspend or terminate your license immediately for material breach of these acceptable use requirements.
6. Telemetry and Data
Power Claude collects minimal telemetry to operate the license system:
- A one-way hash of your machine ID (used for license binding — never linkable back to hardware specifics).
- Installation timestamp and software version.
- Aggregate request counters (total number of rotation events — never the content of any request).
We do not collect, transmit, or store your prompts, AI responses, generated code, API keys, OAuth tokens, or any content of your Anthropic interactions. Full details are in our Privacy Policy.
7. Intellectual Property
Power Claude, including its source code, design, documentation, and all associated intellectual property, is owned by Neural-LLM / Neural-LLM and is protected by US and international copyright law. These Terms do not transfer any ownership interest in Power Claude to you. The license granted in Section 3 is the entirety of your rights in the software.
Feedback, bug reports, and feature suggestions you submit to Neural-LLM may be used by Neural-LLM without compensation or attribution to you.
8. Disclaimer of Warranties
POWER CLAUDE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. NEURAL-LLM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEURAL-LLM DOES NOT WARRANT THAT POWER CLAUDE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
In particular, Neural-LLM makes no warranty that Power Claude will remain compatible with future versions of the Anthropic API, Claude Code CLI, or Anthropic's authentication systems. Anthropic may change its APIs or authentication methods at any time without notice to Neural-LLM, and such changes may render Power Claude partially or fully non-functional. Neural-LLM will make commercially reasonable efforts to update Power Claude in response to Anthropic API changes but cannot guarantee a specific timeline.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEURAL-LLM, ITS OPERATORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE POWER CLAUDE, EVEN IF NEURAL-LLM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NEURAL-LLM'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR POWER CLAUDE SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO NEURAL-LLM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, Neural-LLM's liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Neural-LLM and Neural-LLM from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of Power Claude in violation of these Terms; (b) your violation of Anthropic's terms of service; (c) your configuration of Anthropic accounts you do not have authorization to use; or (d) any claim by a third party arising from your use of Power Claude.
11. Termination
Neural-LLM may suspend or terminate your license and access to Power Claude at any time for material breach of these Terms, with or without prior notice. Upon termination, your license key is revoked and you must cease using the software. Termination does not entitle you to a refund except as described in the Refund Policy.
You may terminate your subscription at any time as described in Section 4.2.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or Power Claude that cannot be resolved informally shall be submitted to binding arbitration in Salt Lake County, Utah, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
YOU AND NEURAL-LLM EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. Any claim must be brought in your individual capacity, not as a class member or in any purported class or representative proceeding.
13. Changes to These Terms
Neural-LLM may update these Terms from time to time. When we make material changes, we will update the effective date above and, where practical, notify you by email to your registered address. Continued use of Power Claude after the updated Terms take effect constitutes acceptance of the revised Terms. If you do not agree to updated Terms, your remedy is to cancel your subscription before the effective date.
14. General
These Terms, together with the Privacy Policy, Refund Policy, Cancellation Policy, and Acceptable Use Policy, constitute the entire agreement between you and Neural-LLM regarding Power Claude and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. Neural-LLM's failure to enforce any provision of these Terms is not a waiver of its right to do so later. You may not assign your rights under these Terms without Neural-LLM's prior written consent.
