Partner Program Terms

The agreement for cash commissions, disclosure, eligibility, and how attribution works. Read carefully before you apply or promote.

These Partner Program Terms (the “Partner Terms”) govern participation in the Neural-LLM Partner Program (the “Program”). They supplement the site Terms of Service, Privacy Policy, Acceptable Use Policy, and EULA.

By applying to, enrolling in, or using Partner tools, you agree to these Partner Terms.

1. Independent product

Power Claude is independent software by Neural-LLM. It is not affiliated with, endorsed by, or sponsored by Anthropic, PBC. “Claude” and “Claude Code” are trademarks of Anthropic, PBC, used only to identify interoperable products. You must obtain Anthropic accounts separately and follow Anthropic’s terms.

2. Cash commissions

The Program pays cash commissions on qualifying paid customer subscriptions attributed to an approved Partner (Direct) and, where enabled, a Scout share of another Partner’s Direct commissions.

  • Free installs, trials, $0 card verifications, refunded payments (after reversal), and non-eligible products do not earn commissions. Only qualifying paid conversions earn.
  • Scout structure (depth and eligibility) is defined in these Terms — no payment for recruiting alone.
  • Calculators, examples, and projections are illustrative only — not income promises.

3. Eligibility (age and capacity)

  • You must be at least 18 years of age (or the age of legal majority where you live, if higher). Minors may not join.
  • You must have legal capacity to contract. If you apply for a company, you must have authority to bind it.
  • You must also meet site Terms of Service § 2 eligibility for any related account.
  • You may not participate if barred under U.S. or other applicable law (including restricted-party lists).
  • You are responsible for local licensing/advertising rules that apply to your marketing.
  • Misrepresenting age, identity, authority, or tax status may lead to rejection, suspension, termination, and forfeiture of unpaid commissions as permitted by law.

4. Enrollment and approval

Applications are subject to review. We may approve, reject, suspend, re-tier, or terminate any Partner for lawful reasons including fraud risk and brand safety.

Commission rate % is customer-timed — not a permanent enrollment freeze. When a customer attributes to you (or, under Program policy, at that customer’s first qualifying paid conversion), the Direct and Scout rate percentages for that customer relationship come from your then-current Partner rate structure. That customer-level rate context governs later qualifying commissions for that customer. Enrollment is not a permanent personal freeze for every future customer: if Program defaults or your structure later change, those changes may apply to newly attributed customers. Already-recorded ledger rows keep immutable rule snapshots. You must keep a valid Neural-LLM account and accurate Where we send cash commissions once balances are Payable and clear the minimum. Not instant cash-out. contact information (checks need payee name + mailing address).

5. Attribution and privacy

Attribution uses first-party cookies / partner identifiers and qualifying purchase data. After the first paid conversion, attribution locks per Program policy. Dashboards and APIs must not expose other customers’ personal data — only privacy-safe aggregates and your commission rows.

6. Commission calculation, holds, and refunds

Commissionable base is amount collected after discounts (not list price), subject to eligibility, fees, and Program no-loss rules. Commission is a percentage of that commissionable amount, not a fixed dollar promise — if subscription price drops, commission dollars drop with the same rate %. Each recorded row stores an immutable rule snapshot. Commissions move pending → payable → paid (or reversed / held where policy requires). Days a commission stays Pending before it can become Payable (program default often ~30 days). and Default often $50 Payable before a batch includes you (config/tier may differ). are configuration-driven. Refunds and chargebacks reverse Direct and Scout liabilities proportionally; after payout, negatives reduce future payouts. Commission processing never blocks a customer’s successful payment.

7. Disclosure and conduct

You must clearly Say you may earn a commission whenever you share a partner link. Non-negotiable. your material connection with Neural-LLM in every endorsement or promotional post (for example: “Partner link — I may earn a commission”).

You must not: claim Anthropic affiliation or Claude Code ownership; guarantee earnings; spam or buy fake engagement; use trademarks in paid ads without written permission; or misrepresent Power Claude as free Anthropic capacity or a rate-limit bypass. We may require takedowns and suspend enrollment for violations.

8. Materials and tools

Promotional materials remain Neural-LLM IP under a revocable, non-exclusive license for Program promotion only. Dashboard tools (links, QR, UTM, training, estimators) are provided “as is” and may change; tool output is not an earnings guarantee.

9. Term, suspension, and exit

  • You may resign anytime by emailing support@neural-llm.com (or via an in-product leave control when available).
  • We may terminate immediately for fraud, abuse, legal risk, or material breach; or for convenience with thirty (30) days’ prior written notice.
  • On exit (crystal clear): no NEW customer attribution and no commissions on NEW customers. Previously acquired customers continue to generate commissions on qualifying renewals and other qualifying paid charges under ordinary hold, refund, chargeback, and eligibility rules (unless fraud forfeiture). Earned payable balances remain subject to ordinary hold/payout rules; pending hold-window amounts may reverse with refunds; Partner tools and “Neural-LLM Partner” claims for new promotion must stop.
  • We may modify, pause, or discontinue the Program with notice. Historical paid commissions and ledger snapshots are not clawed back except for fraud or chargebacks.
  • Ongoing referral traffic from old posts is not a guarantee of Program availability or rates.

10. Independent contractor and taxes

You are an independent contractor, not an employee, joint venturer, or agent of Neural-LLM for employment purposes. You are solely responsible for taxes, estimated payments, reporting, and business registrations. Neural-LLM does not withhold employment taxes on Partner commissions unless required by law.

U.S. W-9 / 1099-NEC: U.S. persons (and others subject to U.S. reporting) must complete and provide a current IRS Form W-9 before payouts Tax ID / W-9 only when required for your country, method, and thresholds — not always at signup. when we so require. Download a blank Form W-9 from the IRS: irs.gov Form W-9 (PDF) (also linked under Partner tax tools). Upload your completed form through the Partner portal when upload is available, or as support instructs. Neural-LLM may issue Form 1099-NEC for reportable commissions under applicable thresholds. This is not tax advice — consult your own tax professional.

11. Limitation of liability

To the maximum extent permitted by law, Neural-LLM’s aggregate liability arising from the Program is limited to the cash commissions actually paid to you in the twelve (12) months before the claim. We are not liable for lost profits, lost traffic, or platform algorithm changes (search, social, AI discovery surfaces).

12. Indemnity

You will indemnify Neural-LLM against claims arising from your marketing content, undisclosed endorsements, trademark misuse, or violation of these Partner Terms or applicable advertising law.

13. Changes

We may update these Partner Terms by posting a revised version with a new effective date. Material adverse changes for active Partners will be announced with at least fourteen (14) days’ notice where practicable. Continued participation after the effective date constitutes acceptance. If you do not agree, resign under § 8.

14. Governing law and venue (Utah / Draper)

These Partner Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law principles (consistent with the site Terms of Service § 14.1). Arbitration under the Terms of Service, when it applies, is conducted in Draper, Utah unless the parties agree otherwise or mandatory law requires otherwise. Court proceedings that are permitted under the Terms of Service lie in Utah courts (Salt Lake County / Draper, as appropriate). These Partner Terms do not select foreign (non-U.S.) governing law or foreign courts as the contractual forum.
